General Terms of Business

Welcome to UTAMA INTERNATIONAL LLC. By accessing our website, engaging in our brokerage services, or requesting quotations, you agree to comply with and be bound by the following terms and conditions:

  • Nature of Quotations: Any price quotes, Soft Corporate Offers (SCO), or Full Corporate Offers (FCO) provided via this website, email, or messaging platforms are for informational and negotiation purposes only. A binding legal obligation is only established upon the execution of a formal Sales & Purchase Agreement (SPA) duly signed and sealed by both parties.

  • Product Specifications & Quality: While we strive for accuracy in all descriptions, all product specifications (including grades, purity, and origin) are subject to final verification. The final quality and quantity shall be determined by independent inspection reports (e.g., SGS, CIQ, or CCIC) issued at the port of loading or discharge, as specified in the individual contract.

  • Limitation of Liability: UTAMA INTERNATIONAL LLC acts as a professional intermediary and trader. We shall not be liable for indirect, incidental, or consequential damages arising from market price volatility, logistics delays, or "Force Majeure" events (e.g., natural disasters, strikes, or sudden changes in international trade policy).

  • Intellectual Property: All content, logos, corporate identity, and proprietary trade information on this platform are the property of UTAMA INTERNATIONAL LLC. Unauthorized use, reproduction, or distribution is strictly prohibited.

  • Governing Law: These terms are governed by and construed in accordance with the laws of the State of Michigan, USA. Any disputes shall be subject to the exclusive jurisdiction of the courts in the state of registration.

Commitment to Global Compliance & Integrity

UTAMA INTERNATIONAL LLC is committed to the highest standards of transparency and ethical conduct in the global commodity trade. We maintain a zero-tolerance policy towards money laundering, terrorist financing, and any fraudulent financial activities.

  • KYC (Know Your Customer) Protocol: To ensure the integrity of our supply chain, we conduct mandatory due diligence on all new counterparties. Before any transaction, we require:

    • Valid Business Licenses and Articles of Incorporation.

    • Proof of Identity for Ultimate Beneficial Owners (UBO).

    • Verified Banking Coordinates and references.

  • Source of Funds & Banking Transparency: We strictly conduct all financial transactions through reputable international banking institutions. UTAMA INTERNATIONAL LLC does not accept cash payments, nor do we facilitate third-party payments that circumvent standard international banking regulations (e.g., AML/CTF laws).

  • Sanctions Screening: We strictly adhere to international sanctions lists, including but not limited to OFAC (U.S. Treasury), the United Nations, and the European Union. We do not engage in business with sanctioned individuals, entities, or jurisdictions.

  • Transaction Monitoring: Our compliance team continuously monitors trade activities for suspicious patterns. Any suspected illegal activity will be reported to the relevant federal and international authorities in accordance with applicable U.S. and international laws
